1. Agreement
These Terms of Service are an agreement between you and Minerva Cloud Solutions Inc.. By creating an account, purchasing a subscription, joining a team workspace, or using Oratessa, you agree to these terms and acknowledge our Privacy Policy. If you use the service for an organization, you confirm that you are authorized to bind that organization.
A separate written enterprise or services agreement controls if it conflicts with these terms.
2. Eligibility and accounts
You must be at least 16 and legally able to enter this agreement. Provide accurate account information, keep your credentials confidential, and promptly notify us of unauthorized access. You are responsible for activity under your account and may not share an individual account with another person.
3. The service and AI limitations
Oratessa provides simulated workplace conversations, AI-generated character responses, hints, rubric feedback, scenario generation, progress information, and team features. These tools support practice and reflection; they do not guarantee workplace, sales, hiring, management, or performance outcomes.
AI output can be incomplete, inaccurate, inconsistent, or inappropriate. You must apply independent judgment and human review. Do not treat output as legal, employment, human resources, medical, financial, or other professional advice, or as the sole basis for a decision affecting another person.
Assessment mode is a low-stakes learning activity, not a proctored exam, professional credential, validated skills test, or employment screening tool. It holds the scenario, settings, and scoring configuration constant for a baseline and repeat attempt, but AI output still varies. Score changes may reflect rehearsal and are not proof of workplace competence or a causal learning effect. Analytics show the available sample and may be incomplete; missing reports are not zero scores.
4. Acceptable use
You may not use the service to:
- break the law, violate another person's rights, or facilitate harmful conduct;
- upload content you do not have permission to use;
- harass, discriminate against, impersonate, deceive, or exploit another person;
- make automated or high-impact employment decisions without meaningful human review;
- probe, bypass, disable, or interfere with security, authentication, limits, or billing;
- scrape, resell, reverse engineer, or extract models, prompts, data, or service logic; or
- introduce malicious code or place unreasonable load on the service.
5. Your content
You retain ownership of content you submit. You grant Minerva Cloud Solutions Inc. a limited, non-exclusive license to host, process, reproduce, and transmit that content only as needed to provide, secure, and support the features you use. You confirm that you have the rights and authority required to submit the content.
Do not submit trade secrets, regulated data, or personal or confidential information about another person unless your organization has approved the use and has a lawful basis to process it. Fictional or de-identified details are usually sufficient for practice.
Custom Team Pro document import supports digital PDF, DOCX, TXT, and Markdown files within the limits shown in the app. We temporarily process the original file to extract text and do not retain the original binary. Reviewed text, its filename, fingerprint, and paragraph references are saved in your workspace. Only excerpts an administrator selects and expressly approves are sent to our AI provider for document-grounded scenario generation. Approved excerpts included in a saved scenario can be used again for associated AI practice and feedback and shared through authorized team access. Source references identify those excerpts, not a guarantee that the generated scenario or feedback accurately interprets them. Do not upload material you are not authorized to process through these services.
6. Team workspaces
Team owners and administrators manage invitations, seats, assignments, scenarios, and permitted team reporting. They can access your membership, assigned work, completion, scores, feedback reports, conversation transcripts, and related activity for practice sessions associated with their workspace. The customer organization is responsible for its workplace notices, permissions, policies, and use of learner information.
7. Plans, subscriptions, and payment
Features, usage limits, and seat limits depend on the selected plan. Review the Pricing page and any applicable written agreement for plan details. Paid plans are billed through Stripe at the price and interval shown during checkout, plus applicable taxes. Subscriptions renew automatically until canceled.
You can manage or cancel an active paid plan through the billing portal in Account Settings. Cancellation normally takes effect at the end of the current paid period. Except where required by law or expressly stated at checkout, payments already processed are non-refundable. We may change future pricing or plan features with reasonable notice.
Paid AI request allowances follow the subscription billing period shown in Settings, rather than the first day of the month. A delayed or retried payment does not move the billing anniversary. Complimentary access follows the monthly anniversary of the grant. Free allowances reset at 00:00 UTC on the first day of each calendar month. Unused allowances do not roll over. Successful character replies, feedback, hints, summaries, and scenario generation consume requests; failed generation or failed saving of an AI reply or final report does not. In-progress work temporarily reserves capacity, shown separately from used requests.
Team AI allowances are shared by the workspace. Owners, administrators, and pending invitations count toward seat limits. Team Growth is exempt from the shared 500-text-request daily cap; monthly allowances and short-term abuse protections still apply. Other plans remain subject to the shared daily cap. Optional Google-generated voice has separate per-user and service-wide safeguards and is not unlimited. Audio stops when its safeguarded free capacity is unavailable; text remains usable within your plan allowance. We do not automatically bill you for voice overages.
A Team Starter to Growth upgrade requires a displayed price preview and explicit confirmation. Stripe may collect a prorated charge immediately; upgraded access is granted only after payment is confirmed. A Growth to Starter downgrade is scheduled for the end of the billing period without deleting saved content. You must fit within the lower seat cap, including pending invitations; new invitations cannot exceed the future cap. Used requests are not reset by a plan change. A personal Pro subscription and a team workspace subscription are separate purchases, not an automatic conversion.
Account deletion and subscription cancellation are different actions. Review the subscription status and cancellation confirmation in Settings before deleting your account. Request help for missing or inaccessible billing accounts. These terms do not limit any cancellation, refund, disclosure, or other consumer right that applicable law does not allow you to waive. You can retain or print this page and your checkout and billing confirmations.
8. Availability and changes
We may add, change, suspend, or discontinue features and may impose reasonable limits to protect reliability, security, or cost. We do not promise uninterrupted or error-free service or an uptime service-level agreement unless one is expressly agreed in writing.
9. Our intellectual property
The service, software, interface, branding, built-in scenarios, prompts, documentation, and other materials supplied by us are owned by Minerva Cloud Solutions Inc. or its licensors and are protected by intellectual property laws. These terms grant only a limited, revocable, non-transferable right to use the service for its intended purpose.
10. Third-party services
The service depends on third parties such as Supabase, OpenRouter and its model providers, Google Cloud and Firebase, Stripe, Resend, Cloudflare, and any sign-in provider you choose. Their services may be subject to separate terms and policies. We are not responsible for third-party services outside our reasonable control.
11. Suspension and termination
You may stop using the service at any time. We may suspend or terminate access when reasonably necessary for security, non-payment, legal compliance, material breach, or protection of users and the service. Where practical, we will provide notice and an opportunity to address the issue.
12. Disclaimers
To the maximum extent permitted by law, the service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by law, Minerva Cloud Solutions Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity. Our total liability arising from the service will not exceed the amount you paid for the service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.
14. Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Ontario will have jurisdiction, subject to any mandatory consumer rights that apply where you live.
15. Changes to these terms
We may revise these terms as the service changes. We will post the updated terms and change the last-updated date. We may provide additional notice for material changes. Continued use after revised terms take effect means you accept them, to the extent permitted by law.
